Nutanix Launchpad Promotion Terms

Customer Eligibility

  • Organizations not currently using a Nutanix product or service
  • Maximum of one Nutanix Launchpad deal per eligible organization.
  • Promotion may be applied only up to a maximum of 192 cores.
    o   The sum of quantities of all NCI editions cannot be more than 192 cores, and
    o   NCM starter quantity cannot be more than 192 cores
  • This Nutanix Launchpad promotion is valid for eligible purchases made from May 21, 2024 to July 31, 2025, unless terminated sooner.
  • Promotion terms cannot be applied retroactively to existing Nutanix customers.
  • All decisions concerning eligibility made by Nutanix are final.
  • All purchases under the promotion are subject to verification of a valid eligibility. False representations of eligibility void the offer and Nutanix reserves the right to collect the published full price for the products ordered by the customer.

General Terms and Conditions

  • Nutanix reserves the right to change the terms of or cancel this Promotion at any time.
  • By taking advantage of the Promotion, Customer accepts the foregoing eligibility requirements and these Terms and Conditions unconditionally.
  • This Promotion is also subject to the terms and conditions of applicable agreements concerning Your usage of the eligible products.
  • Available in term lengths of 12-60 months from start of license term
  • The Promotion price incentive is one-time only and not available at the time of renewal. Renewal pricing will be based on standard software SKUs at standard prices as of the date of renewal without the one-time Promotion incentive.
  • Promotion SKUs may not be combined with the VMware-Nutanix migration promotion. Nutanix, Inc. is not affiliated with VMware by Broadcom or Broadcom. VMware and the various VMware product names recited herein are registered or unregistered trademarks of Broadcom in the United States and/or other countries.
  • This Promotion is not available in any country or territory prohibiting the offering of the Promotion.
  • Nutanix is not responsible for any incorrect or inaccurate information associated with or utilized in the Promotion.
  • This Promotion is governed by the laws of the State of California and any dispute concerning the Promotion will be resolved exclusively in the courts of Santa Clara County, California.

Compliance with Laws, Anti-corruption and Global Trade

Each party represents that it has not and will not violate any applicable laws in relation to the Promotion. Further, each party represents and warrants that it has not and will not violate any applicable anti-corruption law, including the U.S. Foreign Corrupt Practices Act and the U.K. Bribery Act, in relation to the Promotion.  Customer represents and warrants that no entity has offered or provided anything of value to Customer’s employees to improperly influence this deal.  Customer shall not accept bribes or kickbacks in any form.

Each party represents and warrants that it has not and will not violate any applicable trade sanctions and import/export control laws and regulations of any country in relation to this promotion.  Any imposition of sanctions or export controls that prevents Nutanix from performing under the terms of this promotion shall be considered Force Majeure.

The statement describes the information that we gather from you in connection with our offerings, how we use and disclose such information, the steps we take to protect such information, and how you can exercise your data protection rights.

Conflict of Interest

By your participation in the Promotion, and by your acceptance of any funds, gifts, gratuities, rebates, prizes or any item of value commensurate with this promotion, you represent, warrant and affirm to Nutanix that neither your organization or any person employed therewith is now or at any other applicable time engaged with the Nutanix end user customer in any type of consultative, fiduciary or advisory capacity concerning technology procurement, and further, neither your organization or any individual employed therewith has or shall at any applicable time received or will receive any monetary or other form of compensation from the Nutanix end user in exchange for any such aforementioned activity. You agree to fully indemnify and defend Nutanix, its agents, employees, officers and directors, against any and all claims, suits, expenses, fees, fines, liens or costs that any such person may incur as a result of any violation of this provision.

Limitation of Liability

Nutanix shall not be liable for any loss of profits or for special, consequential, incidental, indirect, reliance, punitive or exemplary damages, either in contract or tort, whether or not the possibility of such damages was disclosed to or could have been reasonably foreseen by Nutanix.

Force Majeure

Any delay or omission by Nutanix in enforcing its rights under or fulfilling any Promotion requirements shall not be interpreted as a waiver of such right or requirement.  Nutanix will not be liable for performance delays or for nonperformance due to causes beyond our reasonable control.

Taxes

Each party is responsible for its own respective income taxes or taxes based upon gross revenues, including, but not limited to, business and occupation taxes.
